1Abstract
Composite contracts in Iranian law face a fundamental challenge arising from the tension between the principle of freedom of contract (Article 10 of the Civil Code) and the legal requirement of detailed knowledge of the consideration (Articles 190 and 216 of the Civil Code). By examining the jurisprudential foundations of combining contracts (jamʿ bayn al-ʿaqdayn) and analyzing the difficulties inherent in composite contracts in Iranian law, this study demonstrates that the solution to the conflict between contractual freedom and the requirement of clarity regarding the consideration lies not in detailed knowledge, but in the sufficiency of general knowledge (ʿilm ijmālī) of the total consideration.
Relying on the theory of “unity of formation and analytical divisibility,” the article reconceptualizes gharar from “objective uncertainty” to “unmanageable contractual risk,” and treats the mechanism of proportional allocation (taqsīṭ) as an instrument for achieving fairness at the stage of performance. This two-component framework not only elucidates the nature of composite contracts but also provides a coherent basis for analyzing contracts such as lease-to-own agreements (ijārah bi-sharṭ al-tamlik) and offers a practical model for judicial practice. Furthermore, by supplying a consistent interpretive foundation for harmonizing statutory provisions, this framework demonstrates the dynamic capacity of Islamic jurisprudence to validate modern transactional needs.
